Terms of Use

Introduction

These Terms of Use (“Agreement”) regulate the terms and conditions for using the Hi Networking platform (“Hi Networking”, “Platform”), a project operated by STARTUPWORX OÜ (registry code: 16606029), located at Sepapaja tn 6, 15551 Tallinn, Harju Maakond, Estonia, including the website at hinetworking.com and related web and mobile applications. This Agreement is governed by the laws of the Republic of Estonia and applicable European Union regulations.

1. Definitions

  • Device(s): Computers, tablets, smartphones, and other electronic devices.
  • Hi Networking Platform: The AI-powered networking operating system offering smart profiles, digital cards, relationship memory, events, AI coach, and related tools.
  • User: Individuals who use the Platform as visitors or members.
  • Member(s): Individuals who create an account by registering on the Platform.
  • Product(s)/Service(s): All free and paid features offered within the Platform.

2. General Terms

This Agreement applies to all Users. The Agreement must be read, understood, and accepted from the moment the User accesses the Platform. If the conditions set forth in the Agreement are not accepted, no transactions should be carried out on the Platform as a User.

3. Platform & Service Description

  • Smart profile and shareable digital business card
  • Relationship memory: contacts, timeline events, voice notes with transcription and translation
  • AI-powered conversation starters, summaries and follow-up reminders
  • Opportunity and pipeline tracking
  • Events and community networking features
  • Offline-first capture with automatic sync

4. Membership & Account Security

  • A valid and current email address is required to complete membership.
  • Password security is the Member’s responsibility.
  • The User is responsible for the accuracy and currency of their account information.
  • Account credentials must be kept confidential and not shared with third parties.
  • Hi Networking reserves the right to suspend accounts in case of suspected security breaches.

5. User Obligations

  • To comply with applicable Estonian and EU laws and regulations
  • To abide by the Community Guidelines
  • To respect the rights of other users and their personal data
  • To use the Platform only for legitimate networking and business purposes
  • To not share misleading, harmful, or unlawful content
  • To obtain the necessary consent before recording voice notes that capture another individual’s voice
  • To not engage in activities that would damage the Platform’s technical infrastructure
  • To not reproduce content in a way that would infringe upon STARTUPWORX OÜ’s and/or third parties’ intellectual property rights

6. Intellectual Property Rights

  • All content on the Platform (software, designs, logos, texts, images, templates, AI prompts) belongs to or is licensed by STARTUPWORX OÜ.
  • Users may use Platform content for personal and internal business purposes; they may not reproduce, distribute, or publish it for commercial purposes without permission.
  • Intellectual property rights of content shared by Users on the Platform (contacts, notes, voice recordings) remain with the User.

7. Premium Membership & Payment

  • The Platform offers free and paid membership options. Scope, fees, and payment terms of premium services are specified separately on the Platform.
  • In accordance with the Estonian Consumer Protection Act and EU Consumer Rights Directive (2011/83/EU), consumers have the right to withdraw from a distance contract within 14 days. The right of withdrawal ends with the commencement of digital content services upon express consent.
  • All prices are inclusive of applicable VAT as required by Estonian law.

8. STARTUPWORX OÜ’s Rights & Obligations

  • STARTUPWORX OÜ agrees to fulfill its obligations under the Estonian Information Society Services Act (Infoühiskonna teenuse seadus) and applicable EU regulations.
  • STARTUPWORX OÜ will exercise due care to provide services in a timely, secure, and reasonably error-free manner.
  • STARTUPWORX OÜ reserves the right to change the Platform’s content, usage methods, and account types with reasonable notice.

9. Service Modification & Termination

  • STARTUPWORX OÜ may temporarily suspend or permanently discontinue the Platform’s operation at any time with reasonable notice.
  • Memberships of users who violate the terms may be suspended or terminated.
  • Users may terminate their membership at any time by contacting info@hinetworking.com. Upon termination, the provisions of the Privacy Policy regarding data deletion shall apply.

10. Limitation of Liability

  • The Platform is provided “as is” and STARTUPWORX OÜ does not guarantee that the service will be uninterrupted or error-free.
  • STARTUPWORX OÜ is not responsible for the accuracy or reliability of user-generated content, AI-generated summaries, or automated transcripts.
  • AI-generated suggestions do not constitute professional, legal, or business advice. Users are responsible for their own business decisions.
  • STARTUPWORX OÜ is not responsible for damages arising from third-party links on the Platform.
  • Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be limited under Estonian law.

11. Personal Data Protection

The procedures and principles regarding the processing of Users’ personal data are regulated in the Platform’s Privacy Policy, which complies with the GDPR and the Estonian Personal Data Protection Act.

12. Miscellaneous Provisions

  • The invalidity of any provision of this Agreement shall not affect the validity of the remaining provisions.
  • STARTUPWORX OÜ may transfer all rights and obligations under this Agreement to third parties with prior notification to Users.
  • This Agreement constitutes the entire agreement between the User and STARTUPWORX OÜ regarding the use of the Platform.

13. Dispute Resolution

This Agreement is governed by the laws of the Republic of Estonia and applicable European Union regulations. In disputes arising from this Agreement, the parties shall first attempt to resolve the matter amicably. If no agreement is reached, disputes shall be settled by Harju County Court (Harju Maakohus) in Tallinn, Estonia. EU consumers may also use the European Commission’s Online Dispute Resolution platform at ec.europa.eu/odr.
